Terms of Service
By creating an account or using Metamorph, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms contain important provisions including a limitation of liability and a disclaimer that Metamorph is not a financial advisor.
Introduction and Acceptance
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Metamorph ("Metamorph," "we," "us," or "our"), governing your access to and use of the Metamorph platform, including the website located at metamorph.trade, all associated web applications, and any related services (collectively, the "Service").
By registering for an account, accessing the Service, or clicking to accept these Terms, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you and the organization.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date at the top of this document and, where appropriate, by sending an email notification to the address associated with your account. Your continued use of the Service after any modification constitutes acceptance of the revised Terms.
Description of Service
Metamorph is a trading performance tracking and journaling platform designed for futures traders. The Service allows users to manually log trades, track performance metrics, maintain a trading journal, and analyze their own trading data.
Not Financial Advice
Metamorph is not a financial advisor, broker, dealer, investment advisor, or any regulated financial service. The Service is a personal productivity and record-keeping tool only. Nothing in the Service, including analytics, performance metrics, equity curves, win rates, profit factors, or any other data presented, constitutes financial advice, investment advice, trading recommendations, or any solicitation to buy or sell any financial instrument.
You acknowledge that all trading decisions are made solely by you and at your own risk. Past performance data displayed in the Service is not indicative of future results. Metamorph assumes no responsibility for any trading losses, financial decisions, or outcomes resulting from your use of the Service.
Service Availability
We make reasonable efforts to ensure the Service is available and functioning. However, we do not guarantee uninterrupted, error-free access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or damage resulting from Service unavailability.
Feature Changes and Roadmap
Features described on the Metamorph website, roadmap, or in marketing materials as "coming soon" or "planned" represent our current intentions but are not guaranteed commitments. We reserve the right to modify, delay, or discontinue any planned features at our discretion. The roadmap is provided for informational purposes only and does not constitute a contractual obligation to deliver any specific feature by any specific date.
Account Registration and Security
To access the Service, you must register for an account by providing a valid email address and creating a password, or by authenticating through an approved third-party provider. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@metamorph.trade of any unauthorized use of your account or any other breach of security.
We will not be liable for any loss or damage arising from your failure to comply with these security obligations. You may not share your account credentials with any other person or allow any other person to access your account.
You must be at least 18 years of age to create an account and use the Service. By registering, you represent and warrant that you meet this age requirement.
Subscriptions, Billing, and Founding Member Pricing
Metamorph offers multiple subscription tiers, including a free Starter tier and paid tiers as described on the pricing page. Paid subscriptions are billed on a monthly basis through Stripe, our third-party payment processor.
Founding Member Pricing
Users who subscribe to a paid tier during the designated Open Access period ("Founding Members") will receive a permanently reduced subscription rate ("Founding Member Price") for as long as their subscription remains active and in good standing. The Founding Member Price will not increase due to future general price changes to that subscription tier.
The Founding Member Price guarantee is subject to the following conditions:
- Your subscription remains continuously active without lapsing, cancellation, or non-payment
- You do not downgrade and subsequently re-upgrade to the same tier
- The Founding Member Price guarantee applies to the specific tier you subscribed to during the Open Access period and does not transfer to a different tier
- In the event that Metamorph is acquired, dissolved, or materially restructures its pricing in a legally required manner, the guarantee may be modified with 90 days prior written notice
Payment Processing
All payments are processed by Stripe, Inc. By providing your payment information, you authorize Stripe to charge your payment method on a recurring basis at the applicable subscription rate. Your payment information is transmitted directly to Stripe and is not stored on Metamorph's servers. Stripe's terms of service and privacy policy govern the processing of your payment data.
Cancellation and Refunds
You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period, and you will retain access to paid features until that date. We do not offer prorated refunds for partial billing periods, except where required by applicable law.
We reserve the right to offer refunds at our discretion on a case-by-case basis. If you believe you have been charged in error, please contact us at support@metamorph.trade within 30 days of the charge.
Price Changes
We reserve the right to change subscription prices for new subscribers at any time. For existing subscribers who are not Founding Members, we will provide at least 30 days written notice before any price increase takes effect. Your continued use of the Service after a price change constitutes acceptance of the new price.
User Content and Data Ownership
The Service allows you to input, store, and manage trading data, journal entries, notes, and other content ("User Content"). As between you and Metamorph, you retain all ownership rights in and to your User Content.
By submitting User Content to the Service, you grant Metamorph a limited, non-exclusive, royalty-free license to store, process, and display your User Content solely for the purpose of providing the Service to you. This license does not permit us to sell, share, or commercially exploit your User Content.
We will not use your individual trade data, journal notes, or account performance data for any purpose other than providing and improving the Service, as further described in our Privacy Policy.
You are solely responsible for the accuracy of all User Content you enter into the Service. Metamorph does not verify the accuracy of manually entered trade data and is not responsible for any analytical outputs derived from inaccurate input data.
Data Export and Portability
You have the right to export your User Content at any time through the data export functionality in your account settings. We will make reasonable efforts to ensure your data remains exportable in a standard format throughout your use of the Service.
Data Retention on Termination
Upon termination of your account, we will retain your User Content for a period of 30 days, during which you may request a data export. After this period, your data will be permanently deleted from our systems, subject to any legal retention obligations.
Acceptable Use
You agree to use the Service only for its intended purpose of personal trading performance tracking and journaling. You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Attempt to gain unauthorized access to any portion of the Service or any systems or networks connected to the Service
- Use automated scripts, bots, scrapers, or other automated means to access, collect data from, or interact with the Service
- Reverse engineer, decompile, or attempt to extract the source code of the Service
- Transmit viruses, malware, or other harmful code through the Service
- Share your account credentials or allow others to access the Service through your account
- Use the Service to store or transmit any content that is illegal, defamatory, harassing, or that infringes any third-party intellectual property rights
- Resell, sublicense, or otherwise commercialize access to the Service without our prior written consent
- Use the Service in any manner that could damage, disable, or impair the Service or interfere with other users' access
Intellectual Property
The Service and all content, features, and functionality thereof — including but not limited to the software, design, graphics, text, logos, and trademarks — are owned by Metamorph and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service other than the limited license to use it as described herein.
The Metamorph name, logo, and wordmark are trademarks of Metamorph. You may not use these trademarks without our prior written consent.
If you provide us with feedback, suggestions, or ideas regarding the Service ("Feedback"), you hereby assign to Metamorph all rights in such Feedback, and we may use it without restriction or compensation to you.
Disclaimers and Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that any data, analytics, or calculations presented in the Service are accurate, complete, or reliable for any particular purpose.
We do not warrant that the Service will meet your specific requirements or that defects will be corrected. You use the Service entirely at your own risk.
Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL METAMORPH, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Trading losses or financial losses of any kind, even if advised of the possibility of such damages
- Loss of profits, revenue, data, or business opportunities
- Damages arising from reliance on any analytics, metrics, or data displayed in the Service
- Damages arising from unauthorized access to your account or User Content
- Damages arising from Service interruption, data loss, or errors in the Service
Indemnification
You agree to indemnify, defend, and hold harmless Metamorph and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of or access to the Service
- Your User Content
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your violation of any third-party rights
Termination
You may terminate your account at any time by contacting us at support@metamorph.trade or through the account deletion feature in your account settings.
We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including for violations of these Terms. In the event we terminate your account without cause, we will provide a prorated refund of any prepaid subscription fees for the unused portion of your billing period.
Upon termination, all licenses granted to you under these Terms will immediately cease, and you must discontinue all use of the Service. Sections of these Terms that by their nature should survive termination — including Sections 7, 8, 9, 10, and 13 — will survive termination.
Governing Law and Dispute Resolution
Informal Resolution
Before initiating any formal dispute resolution process, you agree to first contact us at support@metamorph.trade and attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days of receiving your notice.
Binding Arbitration
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.
You and Metamorph agree that each may only bring claims against the other in an individual capacity and not as a plaintiff or class member in any class or representative proceeding.
Exceptions
Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or to prevent irreparable harm.
General Provisions
Entire Agreement
These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and Metamorph regarding the Service and supersede all prior agreements and understandings.
Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Waiver
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Metamorph.
Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms without restriction in connection with a merger, acquisition, or sale of assets.
Force Majeure
We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, acts of government, internet outages, or third-party service failures.
